1. Who your agreement is with
Schedivo is operated by BPS Designs Limited, registered in England and Wales with company number 05360014. Our registered office is 2A Swordfish Business Park, Swordfish Close, Higgins Lane, Burscough, Lancashire, United Kingdom, L40 8JW. In these terms, “we”, “us” and “our” mean BPS Designs Limited.
These terms apply when you use Schedivo’s website, create or use an account, make a booking or join a meeting. Creating an account or placing an order may require a separate acceptance step. If you act for an organisation, you must have authority to accept terms and manage information for it. The organisation is responsible for its authorised users.
Schedivo is designed primarily for business scheduling. If you use it as a consumer, the protections in section 10 also apply. Your statutory rights are preserved throughout these terms. A separately agreed written order or data processing agreement takes priority over these terms to the extent of a conflict on its subject matter.
Our Privacy policy explains our handling of personal information. It is a privacy notice, and accepting these terms does not give blanket consent to processing.
2. Accounts and acceptable use
Provide accurate account and workspace details, keep them current, protect your passwords and access links, and tell us promptly if you suspect unauthorised access. Workspace owners and administrators must manage staff permissions appropriately and remove access when it is no longer needed.
Use Schedivo lawfully and within the features and limits of your plan. You must not:
- send unlawful, fraudulent, abusive or unsolicited material, impersonate others, or infringe anyone’s privacy or intellectual property rights;
- access another person’s account, calendar, booking or meeting without permission, or share private management or joining links with unauthorised people;
- introduce malicious software, bypass access or usage controls, disrupt the service, or probe systems without our permission;
- use automated requests in a way that overloads the service, harvest personal information, or use the service to send spam;
- record or disclose a meeting unlawfully, or use Schedivo for an activity that needs safeguards the service does not provide.
Schedivo is not an emergency communications service. Do not rely on it to contact emergency services or deliver urgent safety-critical assistance.
3. Appointments and connected calendars
The organiser is responsible for the services offered through its booking page, availability, prices or appointment charges, booking questions, attendance requirements, and its own cancellation or refund policy. An appointment with another business creates a relationship with that business. We provide scheduling tools and are not a party to the underlying appointment contract.
Organisers must give bookers clear, lawful information before booking. Bookers must supply accurate details and use the cancellation or rescheduling options within the rules shown for their appointment, or contact the organiser. Cancellation of an appointment and cancellation of a Schedivo subscription are separate actions.
Only connect a calendar you are authorised to use. Schedivo needs the permissions requested by the relevant connector to check availability and manage appointments in your selected calendars. Keep your calendar selection, time zone, working hours and booking settings accurate. You remain responsible for changes made directly in an external calendar.
Providers can change permissions, availability and technical behaviour. A failed connection or delayed update can affect availability or appointment delivery. Check important appointments and contact the organiser if a confirmation is missing. Disconnecting a calendar does not itself cancel bookings or remove calendar events already created.
External providers’ terms apply to their services. You authorise us to exchange relevant information with a connected service only as needed to provide the features you request.
4. Video meetings and recording
Meeting hosts are responsible for admitting appropriate participants, protecting invitation links, managing meeting conduct and using host controls. Participants need compatible devices, browsers and a suitable internet connection. Meeting capacity, duration and recording availability depend on the enabled features and applicable plan limits.
If you record, you are responsible for identifying a lawful basis, informing participants, obtaining consent where required, respecting objections where the law requires it, and securing, sharing and deleting the recording appropriately. Recording laws differ between countries; the host must consider the locations of participants as well as UK law. The built-in notice is information for participants and is not evidence of their consent.
The local recording feature saves to a file or folder chosen on the host’s device. It does not provide cloud storage or a recording backup. Device capacity, browser behaviour, sleep, interruption or a failed save can affect recording. Keep the meeting page visible, follow the recording instructions and check saved files before relying on them or deleting source files. We cannot guarantee that a recording captures every participant or every moment.
Meeting chat is intended for the active meeting. Keep a separate record of information you need afterwards. We cannot prevent recording using external software or devices.
5. Plans, payments and cancellation
Creating an account does not by itself authorise a charge. Paid features are available only when we offer and you select a paid plan. The order or checkout must state the price, billing interval, applicable taxes, included allowances, renewal arrangements and any minimum commitment before you agree to pay. The Pricing page describes the advertised plans; your accepted order records the plan you purchase.
Where an order states that a subscription renews automatically, it continues for the stated billing intervals until cancelled. Any trial, discount, additional host charge or other paid add-on applies only on the terms disclosed when selected.
Where enabled, Stripe provides hosted checkout and billing management. Keep your payment and billing details accurate. You can cancel renewal through the billing management option shown in your workspace or by contacting us at hello@schedivo.com. Cancellation takes effect at the end of the paid period unless your order or applicable law provides otherwise. We will not renew a subscription after an effective cancellation.
For business subscriptions, unused time is not automatically refundable unless your order says otherwise, we agree a refund, or the law requires one. This does not limit a consumer’s cancellation, refund or other statutory rights.
If payment fails or an agreed usage limit is reached, access to affected features may be restricted. We will explain the issue and a reasonable opportunity to resolve it where practicable. We will disclose material price or plan changes before they take effect and give you an opportunity to cancel before a higher renewal charge applies.
6. Your content and personal information
You keep your rights in information and content you supply. You give us permission to host, transmit and use it only as needed to provide and secure Schedivo, comply with lawful instructions and meet legal obligations. You must have the rights and lawful basis needed to provide it and to instruct us to process it.
If you determine why booking or meeting information is processed, you are responsible for the controller’s obligations, including appropriate notices, lawful instructions, accurate information, handling rights requests and retention decisions. We act as processor where we handle that information on your behalf.
Where the law requires a controller–processor agreement, appropriate written data processing terms must be agreed with us before using the service for that processing. Contact us to arrange those terms and obtain the relevant supplier and transfer information. This page and the Privacy policy do not replace an agreement required by Article 28 of the UK GDPR.
Do not assume that Schedivo is suitable for regulated or particularly sensitive records without checking the necessary contractual, security and legal requirements with us. A general booking form or meeting feature is not an assurance of suitability for every industry or data category.
Our software, branding and website materials remain ours or our licensors’. We give you permission to use the service for its intended purpose while these terms apply; this does not transfer ownership of the platform.
7. Service availability and changes
We provide the service with reasonable care and skill. We may need to maintain, update or temporarily interrupt it, and third-party failures or events outside our reasonable control may affect it. We do not promise uninterrupted availability, delivery of every email, or error-free integration with every external service.
We may improve or change features. For a material reduction to a paid service, we will give reasonable notice where practicable and explain available cancellation or refund rights. We will not use a change to remove rights that apply to a service you have already purchased.
8. Suspending or ending access
You can stop using Schedivo and contact us to close your account or discuss return or deletion of information. Cancel a paid renewal separately through the options in section 5. Save information and local recordings you need before ending access.
We may restrict or suspend access where reasonably necessary to address a security threat, unlawful use, a serious breach of these terms, unpaid charges or a legal requirement. Where practical and lawful, we will explain why and allow an opportunity to fix the issue. Immediate action may be necessary to protect people, information or the service.
We may end an agreement for a serious breach that cannot be remedied, or one that remains unresolved after reasonable notice. If we discontinue a paid service for reasons unrelated to your breach, we will give reasonable notice and refund any prepaid period we will not supply.
Ending access does not automatically remove copies held by organisers, participants, email recipients or calendar providers. Return, deletion and any legally required retention are handled under the applicable data processing terms and our Privacy policy.
9. Responsibility for loss
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited. Nothing restricts rights or remedies under data protection law.
For business customers, subject to the paragraph above, we are not responsible for indirect or consequential losses, or loss of profit, revenue, business opportunity or anticipated savings arising from use of the service. We remain responsible for losses for which the law makes us liable. You should take reasonable steps to reduce avoidable loss, including protecting credentials and keeping independent copies of essential records.
For consumers, we are responsible for foreseeable loss and damage caused by our breach or failure to use reasonable care and skill. Loss is foreseeable if it is an obvious consequence or was contemplated when the contract was made. We do not exclude statutory remedies for faulty services or digital content.
10. If you are a consumer
A consumer is an individual acting wholly or mainly outside their trade, business, craft or profession. If that applies to you, mandatory consumer protections take priority over any inconsistent wording in these terms.
For a paid service bought online, you normally have 14 days after the contract is made to change your mind and cancel without giving a reason. Tell us by a clear statement sent to hello@schedivo.com or our registered office. Where this right applies, we refund payments within 14 days of being told, using the original payment method unless you agree otherwise.
If you expressly request that a service starts during that period, we may charge a proportionate amount for the service supplied before cancellation where the law permits. A service cancellation right is lost on full performance only where the required prior agreement and acknowledgement have been obtained. For digital content supplied without a physical medium, any loss of cancellation rights requires the specific prior express consent and acknowledgement required by law; simply signing up or accepting these terms does not waive them.
You may have rights to repeat performance, a price reduction, repair, replacement or a refund if services or digital content do not meet legal requirements, depending on what is supplied. Any additional mandatory subscription cancellation or renewal rights that apply to your contract are preserved.
Optional cancellation form
You may use this wording, but do not have to: “To BPS Designs Limited, 2A Swordfish Business Park, Swordfish Close, Higgins Lane, Burscough, Lancashire, L40 8JW; hello@schedivo.com. I/We give notice that I/We cancel my/our contract for the supply of the following service: [service]. Ordered on: [date]. Name of consumer(s): [name]. Address of consumer(s): [address]. Signature of consumer(s), only if sent on paper: [signature]. Date: [date].”
11. Complaints, governing law and contact
Send questions, cancellations or complaints to hello@schedivo.com, call 01695 302040, or write to our registered office above. Include Schedivo, your account email and enough information for us to investigate. Do not send passwords, calendar credentials or private meeting links.
These terms are governed by the law of England and Wales. Business disputes are subject to the courts of England and Wales. Consumers keep any mandatory protections of the law where they habitually live and may bring proceedings in the courts available to them under applicable law, including their home courts where entitled.
If a term is unenforceable, the remaining terms continue so far as legally possible. Not enforcing a term immediately does not waive it. No third party is given contractual enforcement rights by these terms; this does not affect rights provided independently by law.
12. Updates to these terms
We may update these terms to reflect changes to the service or law. We show the revision date above and give reasonable notice of material changes affecting an existing agreement. Where a change requires your agreement, we will request it. Changes do not apply retrospectively or remove an existing cancellation or refund right.
